Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Poly platform, including all software, APIs and services made available by Polysystems, Inc. ("Poly," "we," "us," or "our"). By creating an account or using Poly in any way, you agree to be bound by these Terms. If you do not agree, do not use the service.
If you are using Poly on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
Please read section 15 carefully. It requires most disputes to be resolved by individual arbitration and limits class actions — and it gives you 30 days to opt out of that requirement without affecting the rest of these Terms.
1. Acceptance
Your access to Poly is conditioned on acceptance of these Terms and of our Privacy Policy, which is incorporated by reference. By clicking "Sign up," "I agree," or by otherwise accessing or using Poly, you confirm you have read, understood and agree to be bound by both.
2. Accounts and Eligibility
You must be at least 18 years old — or the age of legal majority where you live, if higher — to use Poly. By creating an account you represent and warrant that you meet this requirement, and that you are not barred from using the service under section 17.
You agree to:
- Provide accurate, current and complete information.
- Keep your credentials secure and not share account access.
- Tell us immediately at security@poly.inc if you suspect unauthorised access.
- Accept responsibility for all activity under your account.
We may disable any account we reasonably believe violates these Terms or poses a security risk to the platform or its users.
3. Plans, Billing and Credits
Poly offers a free tier with usage limits and paid subscription plans ("Plans"). Billing is handled by Stripe. By subscribing you authorise us to charge your payment method on a recurring basis at the stated frequency.
- Free tier: subject to rate limits and feature restrictions described on our pricing page. We may adjust free-tier limits with reasonable notice.
- Paid plans: billed in advance. Except as stated below or required by law, fees are non-refundable.
- Usage credits and top-ups: prepaid balances are consumed by usage, are denominated in US dollars, have no cash value outside the service, are not transferable, and are not redeemable for cash. Unused credits remain available while your account is open.
- Price changes: at least 30 days' notice by email or in-app notice before an increase takes effect. Continued use after that date is acceptance; you may cancel instead.
- Cancellation: cancel any time in Settings. It takes effect at the end of the current billing period and you keep access until then.
- Consumer withdrawal (EEA/UK): where you are a consumer with a statutory right to withdraw within 14 days, that right applies. By starting to use a paid Plan immediately you ask us to begin performance during that period and acknowledge that any refund may be reduced in proportion to what you used.
- Taxes: prices may exclude tax. You are responsible for taxes in your jurisdiction.
- Non-payment: we may suspend paid features if a charge fails and is not cured after notice.
4. Acceptable Use
You agree not to use Poly in a way that breaks the law or harms others. This section is the operative acceptable-use rule; if we later publish a separate Acceptable Use Policy, it will supplement this section and the stricter of the two will apply. The following is prohibited:
- Generating, distributing or storing illegal content, including child sexual abuse material.
- Sending spam or phishing, or unsolicited commercial messages.
- Uploading or transmitting malware or other malicious code.
- Impersonating any person or entity, or misrepresenting your affiliation.
- Circumventing rate limits, access controls, billing or authentication.
- Scraping or systematically extracting data from Poly without our written permission.
- Using our outputs to develop or train a competing AI model or service without permission.
- Interfering with or disrupting the service or its infrastructure.
- Generating harassment, hate speech, incitement to violence, or non-consensual intimate imagery.
- Presenting AI-generated content as human-made where doing so is deceptive, or removing provenance metadata in order to conceal that content was machine-generated.
- Using Poly to make consequential decisions about people — employment, credit, housing, insurance, education or legal status — without meaningful human review.
We may investigate violations and, where appropriate, suspend or terminate accounts and report conduct to law enforcement. Report abuse to abuse@poly.inc.
5. AI Services and Outputs
Poly routes your requests to third-party AI providers, and optionally to models you run yourself. You acknowledge and agree:
- Accuracy: outputs may be inaccurate, incomplete, outdated, biased or unsuitable. You must independently verify any output before relying on it.
- Not professional advice: nothing Poly generates is medical, legal, financial, tax, psychological or other professional advice. Consult a qualified professional.
- Ownership of outputs: as between you and us, and to the extent permitted by law and by the applicable provider's terms, you own the outputs you generate. We claim no ownership in them.
- Non-uniqueness: generative models produce similar outputs for similar inputs. Other users may receive output that is the same as or similar to yours, and we make no representation that any output is original or free of third-party rights.
- Third-party providers: each provider's own terms and privacy policy govern its processing. We are not responsible for their availability, conduct or output.
- Local models: requests you route to a self-hosted model are processed on your own infrastructure.
- Your responsibility: you are responsible for the content you generate and for the consequences of using or distributing it.
6. Agents and Automation
Poly lets you configure agents and automations that act on your instructions, including on a schedule and while you are not present.
- You are the principal. An agent acts as your delegate. Everything it does under your account is your responsibility, exactly as if you had done it yourself — including anything that violates section 4.
- You set the limits. You are responsible for the instructions, permissions, budgets, schedules and stop conditions you give an agent, and for reviewing what it did.
- They consume resources. Agent activity draws on your plan limits and credit balance, including while you are away.
- They can fail. Agents may act on stale or wrong information, be delayed, stop unexpectedly, or take an action you did not intend. We do not guarantee that any agent runs, completes, or produces a particular result.
- We may intervene. We may pause or stop an agent that threatens the stability of the service, breaches these Terms, or appears to be running away with your resources.
7. Code Execution
Poly can run code — yours or model-generated — in a sandboxed environment. You are responsible for what you run and for its consequences. Do not use it to attack any system, mine cryptocurrency, host services, circumvent limits, or process data you are not authorised to process. Sandbox output is ephemeral: do not rely on it for storage. We may impose time, memory, network and rate limits, and may terminate any execution.
8. Digital Assets, Wallets and Trading
Some parts of Poly interact with public blockchains. These features are tools, not financial services, and this section governs them.
- Non-custodial. You hold your own keys and sign your own transactions. We never take custody of your assets and never receive your private keys or seed phrase. We are not a broker, dealer, exchange, money transmitter, investment adviser or custodian, and we do not execute trades on your behalf as your agent in a fiduciary sense.
- Irreversible. On-chain transactions are final. Nobody — including us — can reverse, cancel or refund them. A wrong address, a mistaken amount or a malicious contract can cause total, permanent loss.
- No advice. Nothing in Poly — including analytics, signals, backtests, scores or agent behaviour — is investment advice or a recommendation to transact. Backtested or simulated results are not indicative of future results.
- You accept market risk. Digital assets are volatile and you may lose everything you commit. Only commit what you can afford to lose entirely.
- Automated trading. If you enable a trading agent, section 6 applies in full and the financial consequences are yours. Prices move, networks congest, quotes go stale and slippage occurs; execution at any particular price, time, or at all, is not guaranteed.
- Third-party protocols. Swaps, quotes and data come from third-party protocols and providers we do not control. Their smart contracts may contain bugs or be exploited. We are not responsible for their behaviour or losses arising from them.
- Your compliance. You are responsible for determining whether these features are lawful where you live, and for your own tax reporting. Do not use them if they are not lawful for you.
9. Tokens
Polysystems, Inc. may publish or be associated with a digital token. Where it does:
- A token is not an investment, security, equity, debt, or a share of revenue or profit, and confers no ownership, governance right over the company, dividend, or claim on any asset.
- Holding a token grants no right to the Poly service, to any feature, to support, or to any refund. It is not required to use Poly and buying one buys you nothing within the product.
- We make no promise about price, liquidity, listing or future value. A token may lose all of its value. Do not acquire one expecting profit from our efforts.
- Verify the address. The only address we publish is on our community page. We will never send you an address by direct message, and we are not responsible for losses from impersonation, fake tokens, or addresses obtained anywhere else.
- Tokens are not offered to any person where doing so would be unlawful, and section 17 applies.
10. Beta and Experimental Features
Features labelled beta, preview, experimental or similar are provided for evaluation, may change or be withdrawn without notice, may not work, and are excluded from any commitment we make elsewhere. Do not rely on them for anything important.
11. Availability and Changes to the Service
We aim to keep Poly available but do not promise uninterrupted service. We may modify, suspend or discontinue features, and perform maintenance, at any time. We will give reasonable notice before discontinuing a feature you materially rely on where practicable. Unless we have signed a separate agreement with you, no service level is promised.
Poly depends on third-party model providers and networks. Their outages, price changes, policy changes or withdrawal may force us to change or remove functionality.
12. Intellectual Property
Your content. You retain ownership of the prompts, documents and other content you submit ("User Content"). You grant us a non-exclusive, worldwide, royalty-free licence to host, process, transmit, store and display it solely to operate and provide the service to you — and, where you share or publish content through Poly, to display it to the people you shared it with. This licence ends when you delete the content, except for backups pending deletion.
You represent that you have the rights necessary to submit your User Content and that it does not infringe anyone's rights.
Our platform. Poly — its name, logo, software, interface and documentation — is owned by Polysystems, Inc. and protected by intellectual property law. You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works of it, except where that restriction is prohibited by law or permitted by an open-source licence that applies to a component.
Open-source components. Poly includes third-party open-source software licensed under its own terms, which prevail over this section for those components.
Feedback. If you send us feedback or suggestions, we may use them without restriction or compensation.
13. Copyright Complaints
If you believe content on Poly infringes your copyright, send a notice to legal@poly.inc containing: your signature (physical or electronic); identification of the work; identification and location of the material; your contact details; a statement of good-faith belief that the use is unauthorised; and a statement, under penalty of perjury, that the notice is accurate and you are authorised to act. We will respond appropriately, which may include removing material, and we terminate repeat infringers.
14. Third-Party Services
Poly integrates with and links to third-party services — AI providers, OAuth providers, data and market feeds, blockchain networks and others. We do not control them and are not responsible for their content, availability or practices. Your use of any of them is subject to that service's own terms.
15. Indemnification
To the extent permitted by law, you will indemnify and hold harmless Polysystems, Inc. and its officers, employees and agents from any claim, loss or expense (including reasonable legal fees) arising from your User Content, your use of the service, your breach of these Terms or of applicable law, your infringement of a third party's rights, or anything an agent you configured did. We will notify you of any such claim and you may control the defence, provided any settlement that admits fault or imposes an obligation on us needs our written consent.
16. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYSYSTEMS, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, NOR FOR LOST PROFITS, LOST DATA, LOST DIGITAL ASSETS, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded — including for fraud, for death or personal injury caused by negligence, or any statutory consumer right. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you, and if you are a consumer in the EEA or UK, your mandatory statutory rights are unaffected.
17. Export Controls and Sanctions
You represent that you are not located in, and are not a national or resident of, a country subject to comprehensive US sanctions, and that you are not on any restricted party list. You agree not to use Poly in violation of export control or sanctions law, and not to make it available to anyone so restricted.
18. Termination
We may suspend or terminate your access for conduct we reasonably believe breaches these Terms or the law, or harms other users or the service. Where practicable and lawful we will give notice and, for anything other than a serious breach, an opportunity to cure.
You may delete your account at any time in Settings > Account. On termination we remove your personal data in line with the Privacy Policy. Export anything you want to keep before you delete — after deletion we cannot recover it.
Provisions that by their nature should survive do survive, including sections 4, 5, 8, 9, 12, 13, 15, 16, 17, 19 and 20.
19. Changes to These Terms
We may modify these Terms. We will post the updated version at this URL and, for material changes, notify you by email or in-app notice at least 30 days before they take effect, unless a change is required sooner by law or to address a security issue. The "Last updated" date reflects the most recent revision. Continued use after the effective date is acceptance; if you disagree, stop using Poly and cancel.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Informal resolution first. Before starting a formal proceeding, contact us at legal@poly.inc with a description of the dispute. We will try in good faith to resolve it within 60 days.
Arbitration. If we cannot, any dispute will be resolved by binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules, seated in Delaware or conducted remotely at your election. You and Poly each waive a jury trial and the right to participate in a class, collective or representative proceeding.
Your right to opt out. You may reject this arbitration agreement by emailing legal@poly.inc with your account email and the words "arbitration opt-out" within 30 days of first accepting these Terms. Opting out affects nothing else in these Terms, and we will not hold it against you.
Carve-outs. Either party may bring an individual claim in small-claims court, and either may seek injunctive relief in court to prevent irreparable harm or to protect intellectual property.
Consumers in the EEA and the UK. Nothing here deprives you of the protection of the mandatory law of your country of residence or of your right to bring proceedings in your local courts. The arbitration and class-waiver provisions do not apply to you where the law does not allow them.
21. General
- Entire agreement. These Terms, the Privacy Policy and any policy they incorporate are the whole agreement between us on this subject.
- Severability. If a provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, sale or reorganisation.
- Force majeure. Neither party is liable for a failure caused by events beyond reasonable control, including network or infrastructure failures, provider outages, and acts of government.
- Notices. We may give notice by email to the address on your account or by in-app notice. Keep your email current. Notices to us go to legal@poly.inc.
- No third-party beneficiaries. These Terms create no rights for anyone who is not a party to them.
- Relationship. Nothing here creates a partnership, joint venture, employment or agency relationship.
